Summary

A shareholder dispute in a Dutch BV or NV? Identify the blocked decision and your goal: information, workable arrangements or exit. A general partnership needs a different assessment.

Key points

  • A shareholder dispute in a Dutch BV or NV? Identify the blocked decision and your goal: information, workable arrangements or exit. A general partnership needs a different assessment.
  • Separate your roles as shareholder, director and employee. A management decision does not automatically settle your shares or employment contract. Identify any holding company owning the shares.
  • Collect current articles, shareholder agreements, decisions and financial records. Record missing information and business decisions that cannot wait. Do not block records without authority.
  • Temporary information or consultation arrangements may help exit negotiations. For a buyout, discuss valuation and payment too. Clarify which party the adviser represents.

Business law in the Netherlands.

A shareholder dispute in a Dutch BV or NV? Identify the blocked decision and your goal: information, workable arrangements or exit. A general partnership needs a different assessment.

Separate your roles as shareholder, director and employee. A management decision does not automatically settle your shares or employment contract. Identify any holding company owning the shares.

Collect current articles, shareholder agreements, decisions and financial records. Record missing information and business decisions that cannot wait. Do not block records without authority.

Temporary information or consultation arrangements may help exit negotiations. For a buyout, discuss valuation and payment too. Clarify which party the adviser represents.

An inquiry examines policy and business affairs. Expulsion and withdrawal have different requirements. Since January first, twenty twenty-five, that exit route starts at the Enterprise Chamber. Not every dispute qualifies.

Identify a specific urgent meeting, transaction or payment date. Ask a business lawyer which temporary or final route fits. Agree on the work and costs before proceeding.
