A bv with assets does not disappear simply by removing the business from the Handelsregister. A valid dissolution resolution is normally followed by liquidation: the remaining assets, debts and obligations are wound up. The legal entity ends only once the relevant conditions have been met. Ask a business lawyer to review matters where there are several shareholders, debts or unclear claims. This guide concerns ordinary dissolution and liquidation of a Dutch bv with assets. A genuinely asset-free position requires a separate assessment of fast-track liquidation.

1. Show the actual financial position
Identify cash, stock, equipment, investments and receivables. Money the bv can still receive from customers or the Belastingdienst may also be an asset. An empty bank account therefore does not prove that nothing of value remains. Identify disputed or difficult-to-collect receivables, with supporting documents and a reasoned valuation.
List all debts and ongoing contracts as well. Include possible claims, guarantees and obligations to employees even if no invoice has arrived. A purely accounting balance can conceal uncertainty. Obtain financial and legal advice on outstanding items before planning shareholder distributions or a fixed closing date.
2. Prepare a valid dissolution resolution
For a bv, the general meeting plays a central role in dissolution. Check the current articles, authority and required decision-making process. Record the resolution and date carefully. KVK states that dissolution cannot be backdated. A business without turnover for months has not automatically already ceased to exist legally at that earlier point.
Also determine who will liquidate and who will keep the records. A director wishing to stop daily activities must recognise that winding up can still require work. Specify the liquidator’s tasks, availability and powers. Independent assessment is especially useful in shareholder disagreements or where someone may have their own claim against the bv.
3. Understand continued existence in liquidation
KVK explains that a dissolved legal entity can continue to exist for liquidation. The words in liquidatie show that winding up remains in progress. This is not continuing as if the dissolution resolution had never happened. Establish which acts are still needed for liquidation and who may perform them for the bv.
Keep the account, correspondence and system access for as long as winding up requires them. Closing a bank account before refunds, taxes and final expenses are clear can complicate implementation. Ask financiers and insurers about dissolution’s effects. An internal resolution does not automatically end every external contract or personal security.
4. Deal with creditors and full settlement
The liquidator inventories what must be collected, sold and paid. List known creditors, amounts, ranking and disputed items. Do not simply pay the remaining money to shareholders before examining outstanding debts and winding-up expenses. Have disputed payments to connected parties assessed separately.
If assets are insufficient, obtain immediate advice on the statutory route. KVK describes a possible role for agreements with all creditors and otherwise a possible bankruptcy application. Do not treat a shortfall as an administrative inconvenience. Delay or selective winding up can create additional risks for directors or liquidators involved.
5. Prepare accounts and distribution
Official guidance identifies accounts of the liquidation and, where applicable, a plan to distribute the surplus. Determine what must be filed and published. KVK describes a two-month objection period in connection with that publication. Calculate the actual deadline and correct sequence before implementing a distribution.
Inform known creditors directly in an appropriate way and record what was sent. A general advertisement is not a reason to ignore existing correspondence with a specific creditor. If an objection or new claim arrives, assess how winding up must change. An existing plan does not guarantee that everything can be paid without further checks.
6. Finish tax and records
The Belastingdienst stresses that returns must continue until the bv has finally ceased to exist and that the final corporate income tax return includes a closing balance sheet. Coordinate distribution and transfer of remaining assets with tax valuation. Ask an accountant or tax adviser to calculate shareholders’ own consequences: bank funds alone do not establish a freely spendable net amount.
Pension, annuity or other retirement obligations on the balance sheet require specialist advice and advance consultation where necessary. Remain reachable for tax correspondence. Ultimately register the end and the custodian of books and records correctly. Retention remains relevant after daily activities stop, so agree practical access and costs beforehand.
7. Fictional example: dormant holding with a receivable
Suppose a holding has no turnover and almost no bank balance. Its shareholder wants immediate deregistration. However, the balance sheet still contains a loan to another business and an expected tax refund. The shareholder calls both uncertain and therefore assumes there are no assets.
Useful preparation examines the receivable and refund using documents and a supported valuation. The appropriate route and liquidator can then be determined. This fictional example does not establish that every nominal receivable is worth its full amount. It shows why uncertain assets need investigation before choosing an asset-free route.
8. Checklist for closure advice
First request an assessment of assets, debts and legal form. Then plan the resolution, liquidation, publication and final registration. Assign one person responsibility for outstanding information and continue monitoring formal correspondence until all winding-up questions have been resolved.
- Current articles, register and draft dissolution resolution.
- Complete assets and receivables with evidence.
- Debts, staff, contracts and possible claims.
- Liquidator, accounts and possible distribution plan.
- Final tax questions, retention and registration confirmation.
Frequently asked questions
Is ending turnover the same as dissolution?
No. Actual inactivity and the formal dissolution resolution are different events.
Does the bv disappear immediately?
Not if existing assets need liquidation. The legal entity can continue to exist in liquidation for that purpose.
May I pay the surplus to myself immediately?
First assess debts, expenses, distribution and applicable publication and objection rules. The bank balance is not automatically freely distributable.
Are returns unnecessary after dissolution?
No. The Belastingdienst identifies return obligations until final termination and a last return with a closing balance sheet.
