Suspension may appear necessary when a director is suspected of careless conduct or cooperation suddenly breaks down. Blocking an account, however, is not the same as a legally valid suspension decision. First investigate who the director is, which body has authority and what precisely the measure should protect. The suspended director needs prompt clarity about position, access and contract. A business lawyer can assess decision-making and immediate measures together. This guide concerns a Dutch BV and distinguishes statutory suspension, interruption of work and definitive dismissal.

1. Check the formal position
Collect the appointment decision, current articles and trade register extract. An employee with the title director is not necessarily a statutory director. A management BV may also be the formal director while an individual does the daily work. Record each person's and legal entity's role. Suspending one party does not, without assessment, have identical consequences for everyone working in the business.
Also read the employment or management agreement and any shareholders' arrangements. Record the parties, remuneration and any reference to suspension or leave from duties. A director who is also a shareholder does not automatically lose shareholder rights through suspension. Shares, directorship and contractual services are separate relationships that must be coordinated when implementing the measure.
2. Establish who may suspend
For a BV, Article 2:244 of the Dutch Civil Code provides as a starting point that any director may be suspended by the body authorised to appoint them. For a board with executive and non-executive directors, the legislation also identifies the board's authority to suspend an executive director. Other statutory powers or powers under the articles may be relevant. Check the specific governance model rather than basing a decision solely on the intervening person's shareholding percentage.
Establish the required notice, agenda, vote and any advisory or hearing rights before deciding. Agreement among several people in a group chat that someone should leave is insufficient. Specify whether the agenda concerns proposed suspension or dismissal and what information the person receives. A lawyer must examine the care and procedural requirements applicable to this decision, even where the underlying concerns are serious.
3. Specify the reasons and proportionality
Describe the alleged conduct using dates, amounts and documents. Is there an unexplained payment, a security risk or a breakdown in cooperation? Distinguish proven facts, indications and suspicions. Do not word a suspension so that unproven fraud is already presented as established. Identify what requires investigation and why continuing full performance of duties during that investigation creates a specific risk.
Compare the measure with less intrusive options, such as temporary dual approval of payments or clear task arrangements. Not every dispute justifies the same restriction. Consider the interests of the BV and its business too: who can continue handling ongoing assignments, staff and payments? A measure intended to restore calm but stopping all decisions may worsen the problem. Assess necessity, duration and review date together.
4. Separate the decision from implementation
Record in writing which body decides, who is suspended, when the measure starts and its underlying reason. Describe its temporary nature and a review date without assuming a universal statutory maximum duration. Check whether the articles or agreement impose additional limits. Retain minutes and voting records. An entry or change in a system does not replace the underlying decision-making.
Then determine who handles implementation. Consider bank access, digital keys, representation, contact with employees and handover of current files. Limit communications to what is necessary and avoid unnecessary public accusations. Record what information the suspended person still needs for a defence, handover or other applicable rights. Intervention in accounts must have a valid legal basis and carefully handle business and personal information.
5. Assess remuneration and contractual duties
Suspension does not automatically permit salary or management fees to be stopped. The agreement's content, legal classification and reasons for the measure require assessment. List payment obligations and amounts already invoiced separately. Arrangements concerning insurance, expenses, confidentiality and company property may also continue. A practical block on work does not itself settle contractual matters.
The director should request the decision, its basis and an explanation of payments in writing. Indicate availability for an appropriate handover or response without unintentionally resigning. Continue handling confidential information carefully and avoid copying entire records without consultation. Independent legal counsel can assess the cooperation required and how to preserve your position while the suspension is disputed.
6. Choose a timely response or next step
A suspended director can have the decision and procedure reviewed. Depending on the defect, nullity, annulment or interim relief may be relevant. Summary proceedings require a specific urgent situation and do not automatically provide a final decision on every underlying conflict. Broader problems in policy and governance may justify corporate-law proceedings, but eligibility and purpose require separate examination.
Meanwhile, those imposing suspension must organise the investigation and a follow-up decision. Do not leave the temporary measure in place without explanation. Distinguish suspension, removal from office and termination of an employment or management agreement. Each may have its own deadlines, authority requirements and financial consequences. Agree with the lawyer who monitors those deadlines and what new information will be put to the person before further decisions.
7. Fictional example and documents for advice
Suppose two shareholders discover payments to a business owned by the third shareholder-director. They want to revoke all access immediately. An initial legal assessment separates the payments, authority to suspend and the BV's continuity. The director receives an opportunity to respond under the applicable rules; evidence is preserved. This fictional example establishes no fraud and guarantees no valid suspension. It shows that a business emergency calls for investigation and careful decision-making together.
Bring the appointment decision, articles, contracts, notice, minutes and main evidence. Add an overview of upcoming payments and actions requiring management. State the temporary outcome sought and any imminent implementation date. Discuss legal fees and whose behalf advice is provided on: the BV, a shareholder and the director concerned do not always share the same interest. A clear engagement prevents confusion about the client and responsibility.
Frequently asked questions
May a majority shareholder suspend independently?
Not merely because of their shareholding percentage. The competent body and required decision-making must be established using legislation, the articles and governance model.
Does remuneration stop upon suspension?
That does not follow automatically. The employment or management agreement and legal circumstances require separate assessment.
Do I lose my shares through suspension?
Not automatically. Directorship and shareholding are different relationships. Any offering obligations or other contractual provisions require separate assessment.
