A shareholders’ agreement makes arrangements on information, funding, decisions and departure specific. It does not replace the articles or a required notarial share transfer. When an investor joins, control is unequal or an exit decision approaches, have a business lawyer review the entire document set. The contract must work when interests diverge. This guide concerns a Dutch bv with several shareholders and identifies choices to discuss before signing.

1. Record parties and roles correctly

Note who owns shares and signs: the entrepreneur personally, a holding company or both in different roles. State whether the company itself joins and intended obligations. Signing for a holding does not automatically bind every other group company. Match party descriptions to actual ownership.

Separate shareholder status from management and work. Management fees, employment contracts and shareholder arrangements serve different interests. If leaving daily management should affect shares, define the event and how it is established. Vague references to no longer being active can cause disputes during illness, reduced hours or changed duties.

2. Align the agreement with articles and register

Official guidance describes a shareholders’ agreement as supplementary, non-public arrangements alongside the articles. Assess differences on voting, transfer or decisions carefully. Do not merely state that the contract always prevails: corporate rules cannot be reconciled by one standard sentence. If articles must change, follow the proper notarial route.

Check share numbers, classes and special rights in the register. KVK stresses directors’ duty to maintain it. Incorrect assumptions on ownership or meeting rights can immediately affect drafting. Use current deeds and register data rather than an old percentage sketch in an investment presentation.

3. Design decisions that work despite disagreement

List ordinary decisions and special matters needing extra consent, such as major investments, finance or asset sales. Discuss whether a veto is truly needed and how long it can block. Protection stopping every daily decision can harm the very business shareholders sought to protect.

Record proposal circulation, available information and consultation. Match arrangements to board and meeting powers. A shareholder agreement does not automatically authorise a shareholder to contract for the bv. Representation rules and powers of attorney remain separately relevant.

4. Make funding, distributions and information verifiable

Discuss funding if turnover disappoints. Is contribution compulsory or subject to a new decision? Is it share capital, share premium or a loan, on which terms? Specify rights and duties. “Shareholders take responsibility” says little about amount, timing and non-participation.

Also agree financial reporting and distribution discussions. A dividend policy does not make every desired payment lawful. Directors retain their own task. Agree advance information and who decides. Keep personal income, management fees, interest and dividends separate in records and decisions.

5. Develop transfer and exit as a process

Address voluntary sale, long incapacity, death and defined breach. Different triggers need not justify the same price or route. Set notification, response times and steps. If a shareholder must sell alongside others or may join a sale, identify the offer and terms triggering that right or duty.

Determine valuation and payment. Growth or changed activities may give a formula unintended effects. Address missing information and calculation disputes too. A sale obligation on paper is not completed transfer; align necessary notarial execution and consent.

6. Address deadlock and compliance without illusory solutions

Equal votes can cause deadlock, but not every disagreement requires immediate forced sale. First define blocked decisions and discussion steps. Mediation or an independent expert may help a suitable question. An expert’s technical calculation does not automatically replace all legal dispute resolution.

Align duties and sanctions. A large penalty without clear breach does not ensure easy resolution. Agree procedure and court or arbitrator and new shareholders’ accession. Buying shares does not alone make a newcomer party to every old contract.

7. Fictional example: founder and investor sign different documents

Suppose a founder retains majority ownership and an investor takes a minority. The investor gets contractual approval of almost every expense. Articles and management agreement are unchanged, while leaving directorship automatically triggers a cheap sale under the agreement. Illness or temporary leave is unaddressed.

A useful review compares powers, daily decisions and the actual exit mechanism. Parties can then choose protection consciously and identify unintended blockage. This example judges no existing deal and predicts no valid sanction. It shows why coherence matters more than a long clause list.

8. Checklist before signing

Ask which interests each key clause protects and how it works. Leave open commercial choices for parties themselves. Keep the final version with applicable articles and every schedule so the accepted set remains identifiable.

  • Current articles, register, deeds and group chart with all parties.
  • Decision list with normal powers and necessary approvals.
  • Funding, information provision and distribution policy.
  • Exit triggers, valuation, payment and notarial feasibility.
  • Deadlock route, accession, enforcement and relevant working contracts.

Frequently asked questions

Is this agreement the same as the articles?

No. It provides additional contractual arrangements. Have contradictions and any necessary amendment of articles assessed.

Is a new shareholder automatically bound?

Do not assume so. Arrange accession to the agreement separately from the actual share transfer.

Can I safely insert a veto everywhere?

A veto can protect but also block operations. Define topics and a workable deadlock route.

Is an exit price automatically money immediately due?

No. Valuation, payment, financing and actual transfer are separate steps that must align.
