Business-loan disputes may concern the amount lent, repayment date or acceleration. First establish who lent and received money and the actual arrangement. A transfer proves money moved but does not answer every contractual question. A business lawyer can assess entitlement if payment fails, termination is disputed or security is under pressure. This guide concerns ordinary business loans under Dutch law; shareholder finance, consumer credit and tax classification may need separate assessment.

1. Identify parties and the nature of funding
Collect lender and borrower full names, the agreement and evidence of provision. An entrepreneur may personally lend to a BV, but that is not automatically a personal loan to its director. Record on whose behalf the agreement was signed and who received money. Also examine whether someone undertook an individual obligation or merely represented a party.
Distinguish loans, advances, investments and payment for future performance. A bank description may indicate something but must be read alongside arrangements and correspondence. Ask what repayment obligation the parties intended. Wanting money returned does not independently establish a payment was legally an immediately due loan.
2. Identify the original repayment arrangements
KVK recommends recording amount, interest, duration and repayment method for a private loan. Find the schedule, end date and any conditions attached. Assess later emails discussing temporary postponement too. A loan initially agreed for one year may later have changed; reading only the oldest version may give an incomplete picture.
Compare expected and actual payments. Separate repayments, interest and costs. Mark payments with unclear allocation and request explanation before counting them twice. Check payments by another party for the borrower and their intended meaning. The current balance must follow from documents, not merely the lender's recollection.
3. Check interest and other fees separately
Record the agreed percentage, calculation period and payment dates. Identify whether interest was paid, recorded or added to principal under an arrangement. A business loan does not, without examination, validate every claimed fee. Read the basis and ask what concrete payment unclear terminology means.
KVK mentions market-rate interest for private loans. That guidance does not replace assessment of an individual interest clause or tax consequences. Seek appropriate expertise on tax matters. Market interest changes do not automatically amend an old contract. Preserve support for amendments and clarify when the parties agreed another amount or rate.
4. Treat termination and acceleration as separate questions
One missed instalment does not, without reading the contract, make the entire balance immediately due. Find default, termination, remedy and acceleration arrangements. Ask which steps have occurred and which communications were demonstrably received. A demand for the entire balance must identify the event relied on.
If no clear repayment date exists, establish the applicable statutory and contractual regime. This guide gives no universal period. A professional financier's position may also raise different questions from a one-off loan between entrepreneurs. Give your lawyer complete documents before setting an arbitrary deadline or treating received termination as ineffective.
5. Examine security and ranking before relying on them
If pledge, mortgage or guarantee was agreed, collect separate documents. Reference in a loan agreement may impose an obligation to create security without completing every required step. Check existence, scope and parties involved. Estimated collateral value also does not establish the sum available after costs and others' rights.
Ask about subsequent loans and existing financiers too. KVK identifies arrangements about other credit as a possible contractual component. Breach requires legal assessment; it does not automatically permit taking goods yourself. A guarantor's own position must also be examined when invoking a guarantee. The payment question for the borrower and third-party claim remain distinct.
6. Avoid unintentionally making postponement or new arrangements final
Temporary difficulties may justify discussing a revised schedule. Record whether only dates change or interest, principal and security too. A friendly message allowing later payment is difficult for both parties to interpret without an endpoint. Ask what reservations are needed where balance or maturity remains disputed.
Subordination also deserves separate reading. KVK explains repayment may then depend on other financiers' positions. Do not equate subordination, debt waiver and conversion into capital. Describe the creditors, amounts and circumstances covered. Accounting presentation alone does not determine when payment may legally be demanded.
7. Fictional example: money from a fellow entrepreneur
An entrepreneur lends to a friend's BV. The contract specifies repayments, but later messages discuss temporary postponement. Following a quarrel, the lender immediately demands the entire balance and also holds the friend personally liable. This fictional example judges neither claim.
Preparation separates borrower identity, revised payment arrangements and any personal security. Accounts reconstruct the balance; the lawyer examines maturity and the appropriate response. This clarifies which question needs resolution first. Friendship may explain context but does not replace examination of contract, representation and the director's individual obligation.
8. Prepare focused engagement and monitoring
Bring agreement, amendments, bank statements, interest calculation and security documents. Include any demand, termination notice or summons in full. Ask which entitlement is under examination and who monitors an ongoing deadline. A bookkeeper's calculation check does not automatically engage legal collection or defence. Agree costs and desired negotiating scope too.
After advice, retain a clear dated balance statement and assumptions. Process new payments and arrangements consistently. Report attachment, bankruptcy or assignment immediately; these may require different assessment. This guide guarantees neither repayment nor protection against recovery. It helps establish the actual loan, legal basis and next step.
Frequently asked questions
Does a transfer itself prove all loan arrangements?
No. It demonstrates payment, but duration, interest, repayment and parties must be established from the complete file.
May I demand everything after one missed instalment?
Assess the contract and maturity requirements. Arrears do not necessarily determine the position of the entire balance.
Is a loan to a BV also a loan to its director?
Not automatically. Examine on whose behalf the contract was made and whether a separate personal obligation or security exists.
