An inquiry procedure, the enquêteprocedure, allows the policy and affairs of a legal entity to be investigated under statutory conditions. It is not automatically the way to sell your shares, collect an ordinary invoice or hold your opponent personally liable. If you have specific concerns about management, information or deadlocked decisions, first have your access to the procedure and the purpose of the request assessed. A business lawyer can compare investigation, possible immediate measures and other solutions.

1. Identify the company issue requiring investigation

Distinguish poor financial results from concrete reasons to doubt policy or the conduct of affairs. Collect repeated unanswered information requests, an unexplained transaction or evidence of management paralysis, for example. Record what you personally observed and what you only heard from others. Mismanagement, wanbeleid, is a legal classification, not a substitute for describing the facts.

The Ondernemingskamer, or Enterprise Chamber, identifies investigation and findings of mismanagement as elements of inquiry law. You therefore need not present the question as if every outcome were already proved. Specify the uncertainty to investigate and why it matters to the legal entity. A personal argument unconnected to company policy may require another approach.

2. Have your eligibility checked first

Not everyone involved may independently request an inquiry. Article 2:346 of the Dutch Burgerlijk Wetboek provides a shareholder/depositary-receipt-holder route for an unlisted BV or NV with issued capital not exceeding €22.5 million: individually or together, at least 10% of that capital or at least €225,000 nominal value. For an unlisted BV or NV with higher issued capital, the statutory threshold is 1%. Companies whose shares or depositary receipts trade on a regulated market, multilateral trading facility or comparable non-EU system have a separate route: 1% of issued capital or at least €20 million in value using the closing price on the last trading day before the petition. The articles may lower these statutory thresholds.

Nominal value differs from the estimated sale price of your holding. Compare share numbers, classes and issued capital with the current articles and register. A person granted eligibility by the articles or agreement with the legal entity may have a separate basis; the law also provides a route for the entity itself. Other legal forms have their own rules. Holding shares in a parent does not automatically give eligibility at every operating subsidiary. Establish the entity, route and supporting documents before developing the substantive petition.

3. Organise objections and earlier replies

Collect the letters and messages in which you previously raised objections with management or supervisors. Record date, addressee, specific request and reply. Your lawyer must assess the preliminary admissibility requirements and whether the company had sufficient opportunity to investigate the objections and take measures.

A general claim of years of poor policy is harder to assess than a specific question with supporting documents. Work objection by objection: what happened, which document supports it, what explanation was requested and what remained unanswered? Clearly identify additions as new objections. Rewriting old correspondence afterwards damages reliability and does not remedy missing preparation.

4. Separate investigation from immediate measures

Official guidance explains that, alongside an investigation and where appropriate, the Enterprise Chamber may appoint officers such as a director, supervisory director or administrator of shares. These are substantial measures whose conditions and necessity are assessed separately. Requesting an investigation does not automatically entitle you to every temporary intervention you want.

Describe the specific risk that cannot wait: a proposed transaction, a decision blocked by deadlock or another demonstrable organisational threat. Provide dates and evidence. Ask what the measure temporarily resolves and what it does not. Appointing an interim director does not automatically transfer ownership or determine a final purchase price.

5. Prepare the petition and file for their purpose

The Enterprise Chamber’s procedure requires petitions to be filed through a lawyer. Supporting material includes current Handelsregister extracts, current articles for an inquiry, a numbered exhibit list and a group chart. Your lawyer determines content and filing, but supplying original documents logically and completely can speed preparation.

Do not turn an unsorted mailbox into hundreds of unexplained exhibits. Prepare a short timeline with references and identify missing documents. Discuss confidential data and use of company information before circulating it. The lawyer must assess favourable and unfavourable material; omitting significant counterevidence makes the litigation assessment unreliable.

6. Agree on investigation, costs and next steps

An appointed investigator has an independent assignment and is not your personal adviser. The Enterprise Chamber stresses independent and careful conduct by investigators and appointed officers. Ask how cooperation will be organised, who collects company documents and how communications are recorded. Do not instruct the investigator as if their sole job were to confirm your position.

Ask your lawyer to explain possible steps after a report and what requires a further request. Investigation costs, lawyers’ fees and possible interim-officer costs are separate items. Request a staged budget with decision points rather than an unsupported total. Also discuss whether talks, an information agreement or an exit arrangement could solve the issue with less intrusive steps.

7. Fictional example: unexplained payments in a family BV

Suppose a minority shareholder sees payments to a company owned by the majority shareholder. He has requested contracts and an explanation but receives only a total. Another payment is scheduled. He wants an investigation and also says he wants to leave immediately.

Preparation distinguishes three issues: access to the inquiry procedure, the specific investigation question about payments and the need for an interim measure. The exit wish receives a separate assessment. This fictional example establishes no abuse and predicts no outcome; it shows how the same facts can support different legal objectives.

8. Checklist for inquiry advice

Request initial advice on eligibility, purpose and urgency before commissioning the proceedings. Mention unresolved arrangements and whether discussion is possible. Record the intended result of phase one and matters requiring a later separate decision.

  • Articles, shareholder register, depositary-receipt documents and group chart.
  • Specific objections with original letters, receipt dates and replies.
  • Financial and management records supporting the investigation question.
  • Evidence of the proposed act or another real urgent date.
  • Desired outcome, alternatives and staged-cost arrangements.

Frequently asked questions

May every shareholder request an inquiry?

No. For an unlisted BV or NV with issued capital not exceeding €22.5 million, the statutory shareholder route is, for example, 10% or €225,000 nominal value, subject to a lower articles-based threshold. Larger and listed companies have other routes. Have your precise holding and any special eligibility assessed.

Does ordering an investigation immediately establish mismanagement?

No. Investigation and a later assessment of mismanagement are separate stages. An investigation question should not be presented as an already proved final outcome.

Can the Enterprise Chamber appoint an interim director?

Official guidance includes that possibility, but necessity and conditions require separate assessment. Making a request does not guarantee it will be granted.

Does the inquiry also settle my buyout price?

Not automatically. Investigation, interim protection and exit or valuation disputes serve different objectives. Ask your lawyer to assess their relationship and possible combination.
