A vof agreement should answer the decisions you will actually make together: who may bind the business, how work and money are rewarded, and what happens if someone becomes unavailable or leaves? Filling in a template without discussing operations leaves the main risks open. Have a business lawyer review arrangements before starting or a substantial change. This article concerns a Dutch vof; a bv shareholders’ agreement or contract between independent suppliers requires a different contract.

1. Start with the actual cooperation and parties
Describe the partners, joint activities and starting date. Record legal names and whether anyone participates through their own legal entity. A trading name alone cannot identify all parties correctly. Discuss existing customers, side activities and work that will remain outside the joint business.
Before drafting, map actual working weeks, investment and expected decisions. Who manages banking, keeps records and can promise things to customers? General good intentions help little if practice immediately differs. Keep unresolved choices visible rather than hiding them in a broad standard clause.
2. Distinguish contribution, ownership and use
Money, assets and work can play different roles. Note what is contributed and what is merely available for use. Agree valuation and recording. A partner’s own vehicle or tools do not become permanently shared property without further agreement. Keep purchase evidence for existing assets too.
Record who pays maintenance, insurance and replacement and what happens to assets on departure. Customer lists and software also involve usage and intellectual-property rights. Creating a joint account does not automatically settle ownership. Have arrangements align use during cooperation with settlement at exit.
3. Arrange authority and publicity
Official vof guidance explains that partners can have extensive authority without suitable arrangements. Discuss contracts one may conclude alone and decisions requiring joint consent. Distinguish internal consultation from an actual limit on representation. A promise to call first does not automatically protect against every contract another partner already signed.
KVK explains that certain arrangements on purpose, duration and powers can be entered in the Handelsregister. Examine which restrictions are registrable and relevant against third parties. Check the processed entry against the agreement. Follow those rules in practice too; outdated powers of attorney and bank permissions need separate attention.
4. Make rewards and financial oversight verifiable
Agree profit and loss allocation and permitted advances. A monthly withdrawal is not necessarily fixed salary; partners are not automatically vof employees. Ask the bookkeeper what records are needed to track capital and profit positions. Give each partner timely access to relevant financial information.
Record payment approvals, budgets for major investments and accounting responsibilities. Arrange shortfalls too: must partners contribute more, by what decision and within which limits? Equal profit allocation may create tension with unequal work. Discuss how changed contributions are established and their financial effect.
5. Plan illness, absence and lasting incapacity
Describe temporary inability to work. Who takes over tasks and customers, how is information shared and which financial arrangements continue? Do not promise unlimited ongoing payments without checking resources and insurance. Establish when temporary absence leads to review or different arrangements.
Discuss death and continuation separately. KVK expressly notes that departure or death can affect survival and contractual provisions matter. Align continuation with ownership, valuation and any insurance proceeds. A will and vof agreement have different functions; ask suitable advisers to assess their relationship rather than assuming one document solves everything.
6. Agree exit and disputes before conflict
Arrange notice form, period, valuation date and payment. Who values the business and what information does the departing partner receive? Address ongoing projects and customer contact too. Non-compete or customer restrictions must fit interests and actual activities; an unlimited ban may itself become the dispute. Define the intended limits specifically.
The Belastingdienst highlights personal joint and several liability in a vof. Internal exit agreements do not automatically settle external creditors’ rights. Keep financing, rent and guarantees on the exit agenda. Add a workable discussion or dispute route allowing independent legal advice. A mediator and a lawyer representing one party provide different help.
7. Fictional example: unequal work in an installation business
Suppose two partners start an installation business. One contributes a van and savings; the other works more on-site hours. They verbally agree to share everything equally. After a year, the first wants less work and to sell the van. The template says nothing about ownership, effort or changing profit arrangements.
Useful preparation maps original contributions, assets used and work agreements separately. Clear rules on use, reward and changes can follow. This fictional example determines neither a settlement entitlement nor a fair allocation. It shows which actual choices a contract must record before an argument develops.
8. Checklist for your contract discussion
Bring a practical business plan and main concerns to the lawyer. Ask for arrangements workable with disappointing turnover, absence or departure. Then align contract, register and accounting and schedule a review for major changes.
- Legal parties, activities, starting date and existing side interests.
- Contribution list with value, ownership, use and maintenance.
- Powers, joint decisions and appropriate registration.
- Profit/loss, advances, records and major expenses.
- Illness, death, departure, valuation and dispute route.
Frequently asked questions
Is a written vof agreement compulsory?
Official guidance says not compulsory but important. Without written terms, cooperation and liability do not disappear; proof and interpretation often become harder.
Does an internal spending limit always protect me against outsiders?
Not automatically. Examine internal agreements versus representation and the relevant register effect.
Are partners employees receiving salary?
Not merely through vof participation. Distinguish profits, advances and other legal relationships and align records.
Can a standard contract prevent every future dispute?
No. It must match activities and be reviewed after major changes. A dispute clause remains useful.
